These Terms and Conditions (“Terms”) govern your registration, use, and participation as a seller/vendor (“Vendor”, “You”, “Your”) on Samanhub B2B Marketplace (“Samanhub”, “We”, “Us”, “Our”). By registering as a Vendor on our platform, you agree to comply with these Terms.

1. Vendor Registration

1.1 Vendors must provide accurate, up-to-date, and verifiable business details, including legal entity name, contact information, business registration/license, tax identification, and banking/payment details.
1.2 Vendors shall be responsible for maintaining the confidentiality of their account credentials.
1.3 Any false, misleading, or incomplete information may result in suspension or termination of the Vendor’s account.

2. Product Listing and Compliance

2.1 Vendors are responsible for ensuring all products listed are genuine, lawful, and comply with Nepalese law and the laws of the country of origin/destination.
2.2 Vendors must ensure accurate product descriptions, pricing, images, and specifications.
2.3 Counterfeit, prohibited, or restricted products are strictly not allowed. Samanhub reserves the right to remove such listings.

3. Payment and Commission Charges

3.1 Vendors may choose between:

  • Subscription Model: A fixed fee-based subscription with no sales commission (as per Samanhub’s subscription packages).

  • Commission Model: If not subscribed, Vendors agree to pay Samanhub commission on each successful sale, based on the Vendor’s country of registration.

3.2 Commission Structure

A. Nepali Suppliers (NPR):

  • NPR 0 – NPR 25,000 → 5%

  • NPR 25,001 – NPR 50,000 → 4%

  • NPR 50,001 – NPR 500,000 → 3.5%

  • NPR 500,001 – NPR 1,000,000 → 3%

  • NPR 1,000,001 and above → 2%

B. Indian Suppliers (INR):

  • INR 0 – INR 25,000 → 5%

  • INR 25,001 – INR 50,000 → 4%

  • INR 50,001 – INR 500,000 → 3.5%

  • INR 500,001 – INR 1,000,000 → 3%

  • INR 1,000,001 and above → 2%

C. International Suppliers (USD):

  • USD 0 – USD 200 → 5%

  • USD 201 – USD 400 → 4%

  • USD 401 – USD 4,000 → 3.5%

  • USD 4,001 – USD 8,000 → 3%

  • USD 8,001 and above → 2%

3.3 The commission is calculated on the total sales amount, excluding applicable taxes, shipping, and handling charges.
3.4 Samanhub reserves the right to revise commission rates or subscription models with prior notice.

4. Payment Settlement

4.1 Samanhub will collect payment from buyers on behalf of Vendors.

4.2 Payment for products sold in the national or international marketplace shall be settled by Samanhub to the Vendor only after the products have been received by the buyer.

4.3 The samanhub shall remit payment to the vendor for products sold on the platform, by deducting applicable commission charges mentioned under Section 3.2, within a minimum of 3 days and maximum of 7 days after the buyer has received the products.

4.4 The payment settlement process shall follow a two-stage system:

  • Stage 1: 50% of the payable amount will be released to the Vendor after the Vendor submits valid proof of transportation/shipment to Samanhub.

  • Stage 2: The remaining 50% of the payable amount will be released only after confirmation that the buyer has received the products.

4.5 Vendors must ensure accurate banking details. Samanhub shall not be held liable for payment delays caused by incorrect account information, banking issues, or delays in buyer confirmation.

5. Vendor Obligations

5.1 Vendors must ensure timely processing, packaging, and dispatch of orders.
5.2 Vendors shall provide customer support for product-related issues.
5.3 Vendors must comply with Samanhub’s return, refund, and dispute resolution policies.

6. Intellectual Property & Branding

6.1 Vendors grant Samanhub a non-exclusive right to use their business name, logo, and product images for marketing and promotional purposes.
6.2 Vendors are prohibited from infringing third-party intellectual property rights.

7. Termination & Suspension

7.1 Samanhub reserves the right to suspend or terminate any Vendor account for violations of these Terms, fraudulent activities, or legal non-compliance.
7.2 Vendors may request voluntary account closure with a written notice.

8. Limitation of Liability

8.1 Samanhub acts as an intermediary platform and is not the manufacturer, importer, or distributor of the products.
8.2 Samanhub is not responsible for product quality, warranty, or any disputes arising directly between Vendor and Buyer.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of Nepal. Any disputes shall fall under the jurisdiction of the courts of Kathmandu, Nepal.
